1. Agreement to terms

These Terms of Service (the “Terms”) form a binding agreement between Algo and Art LLC, a United States limited liability company doing business as helohi.io (“helohi”, “we”, “us”, or “our”), and you or the business entity you represent (the “User”or “you”). By creating an account, accessing, or using helohi.io and our AI agent services (the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of services

• AI voice and chat agents that answer calls and messages on behalf of your business
• Appointment booking integrated with your calendar
• Transactional SMS confirmations and reminders sent to your customers
• A dashboard for managing your agent, settings, and data

helohi is a done-for-you service. We build, train, and maintain your AI agent based on the information you provide.

3. Eligibility and account registration

• You must be at least 18 years of age
• You must have authority to bind the business you represent to these Terms
• You must provide accurate and complete business information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account

4. Acceptable use

You agree not to use helohi to:

• Provide medical, legal, financial, investment, tax, or insurance advice through your agent
• Engage in deceptive, fraudulent, or illegal activities
• Send unsolicited marketing messages or spam via SMS
• Violate applicable laws, including fair housing, consumer protection, and telecommunications laws
• Misrepresent your agent as a human when directly asked
• Collect information from callers for purposes unrelated to your legitimate business operations
• Attempt to reverse-engineer, scrape, or interfere with the platform

5. SMS messaging

helohi sends transactional SMS messages on your behalf, including appointment confirmations and reminders. These messages are transactional only, sent in connection with a booking or inquiry initiated by the recipient, and compliant with carrier guidelines and applicable regulations. 6. Pricing and payment

• All prices are listed in US dollars (USD)
• Billing is monthly, in advance, at the start of each billing cycle
• Your subscription renews automatically each month at the price disclosed at checkout until you cancel. You can cancel future renewals at any time from your dashboard, and we will email you a renewal reminder before each charge where required by applicable law.
• Founding-50 promotional pricing is subject to the terms stated at the time of enrollment
• Prices are subject to change with 30 days' written notice. Price changes apply only to renewal periods that begin after the notice period.

Our order process is conducted by our online reseller Paddle.Paddle.com Market Limited (and, for buyers based in the United States, Paddle.com Inc.) acts as the Merchant of Record for all purchases on helohi. Paddle is responsible for billing, tax collection (VAT, GST, and sales tax where applicable), payment processing, refund administration, and chargeback handling on our behalf. Order receipts are issued by Paddle.

Prices displayed on helohi.io may exclude applicable taxes. Paddle will calculate and add any tax due based on your billing location at checkout. By purchasing a subscription, you also agree to Paddle's Checkout Buyer Terms and Privacy Notice.

7. Cancellation and refunds

• helohi is a month-to-month service with no long-term contract
• You may cancel at any time from your dashboard
• On cancellation, your agent remains active through the end of the current paid period
• Account data is retained for 30 days after cancellation to allow for reactivation, then deleted

30-day money-back guarantee.If you are not satisfied with the Services, you may request a refund of your most recent monthly payment within 30 days of that payment, subject to the usage tiers and good-faith evaluation clause below. Refund requests are administered by Paddle as Merchant of Record under Paddle's Refund Policy. To request a refund, use the order receipt issued by Paddle at the time of purchase, or email info@helohi.io and we will forward your request to Paddle. Chargebacks and payment disputes are also handled by Paddle on our behalf.

Usage-based refund tiers. Each plan includes a monthly allowance of voice minutes, phone minutes, or AI replies that have real third-party cost once consumed. Refunds are tiered based on consumed usage in the billing period:

• Less than 25% of allowance used: full refund.
• Between 25% and 75% used: pro-rated refund for the unused portion.
• More than 75% used: the service has been substantially delivered; refund may be declined or limited at our discretion.

Good-faith evaluation. The 30-day guarantee exists so you can evaluate helohi for your business. Where usage patterns indicate the guarantee is being used for purposes other than legitimate evaluation (for example, exhausting the monthly allowance within days of signup and then requesting a refund), we reserve the right to decline or reduce the refund. Your right to cancel future renewals is unaffected.

European Union and United Kingdom consumers. If you are a consumer (not a business) located in the EU or UK, you have a statutory right to withdraw from your initial purchase within 14 days without giving any reason. By starting to use the Services during that 14-day period, you expressly request immediate performance and acknowledge that this right of withdrawal is lost once we begin providing the Services. The 30-day money-back guarantee above remains available as a contractual benefit independent of any statutory right.

8. Data ownership

• You own all business data, customer data, call logs, and booking information collected through your helohi agent
• You grant helohi a limited license to use your business information solely to operate your agent and provide the Services
• We do not use your data to train models or agents for other clients
• See our Privacy Policy for details on how we collect and process data

9. Intellectual property

• helohi, helohi.io, Algo and Art LLC, and all related branding, software, models, and technology are owned by Algo and Art LLC or its licensors
• You may not copy, modify, distribute, sublicense, or reverse-engineer any part of the platform
• Content you provide (services, pricing, business info, recordings) remains yours

10. AI disclosures

The Services use artificial intelligence, including large language models and synthetic voice systems, to handle calls and messages. You acknowledge that:

• AI systems can produce inaccurate, incomplete, or unexpected output
• Your agent may misunderstand callers, mis-book appointments, or generate incorrect responses
• You must not rely on the AI agent for regulated advice, including medical, legal, financial, tax, insurance, or fair-housing matters
• You are responsible for the accuracy of the information you provide to train the agent and for reviewing the output it produces on your behalf
• Calls may be recorded and transcribed for quality, training, and dispute resolution, subject to the Privacy Policy and applicable law

11. Disclaimer of warranties

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, helohi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee:

• That the Services will be uninterrupted, secure, or error-free
• That the AI agent will handle every call or inquiry correctly
• Specific business outcomes, revenue, or booking volumes

12. Limitation of liability

To the maximum extent permitted by law, helohi's total aggregate liability for any claim arising from or related to the Services is limited to the amount you paid for the Services in the three (3) months preceding the claim. helohi is not liable for:

• Lost revenue, lost profits, or lost business opportunities
• Indirect, incidental, special, consequential, or punitive damages
• Actions taken by your AI agent that result from inaccurate information you provided
• Failures of third-party integrations (calendar systems, SMS carriers, payment processors, telephony providers)

13. Indemnification

You agree to indemnify, defend, and hold harmless Algo and Art LLC and its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, the content or instructions you provided to train your agent, or SMS messages and calls sent or received on your behalf through the platform.

14. Modifications to terms

We may update these Terms from time to time. Material changes will be communicated by email to the address on file or by a banner notice on helohi.io at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. The state and federal courts located in the State of Delaware have exclusive jurisdiction over any dispute arising from or related to these Terms or the Services, and you consent to personal jurisdiction in those courts. Nothing in this section limits any non-waivable consumer-protection rights granted to you under the laws of your jurisdiction.
